 Introduction

Bring More Value Inc. (“BMVI,” “we,” “us,” or “our”) provides fractional business services to clients in the construction and trades industries. These Service Terms and Conditions (“Terms”) govern the provision of our Services to you. By engaging our Services, you agree to these Terms.

Scope of Services

BMVI provides consulting and coaching services to help clients improve their business operations, processes, and strategies. Our Services are designed to provide clients with valuable insights and recommendations that can improve their business performance. However, we do not provide legal advice, and our Services should not be relied upon as a substitute for legal advice.

Fees

Our fees for Services are determined on a case-by-case basis and will be set forth in the engagement agreement between us. Our fees are non-refundable, except as otherwise agreed upon in writing between us.

Confidentiality

We understand that you may need to share sensitive information with us in order to receive our Services. We take our obligation to protect your confidential information seriously and will use reasonable measures to maintain its confidentiality. However, we cannot guarantee that your confidential information will not be disclosed to third parties in certain circumstances, such as in response to a legal subpoena or court order.

Intellectual Property

We retain all intellectual property rights in our work product, including any reports, analyses, and recommendations that we provide to you as part of our Services. You may use our work product only for your internal business purposes and may not disclose it to third parties without our prior written consent.

Limitation of Liability

In no event will BMVI be liable to you or any third party for any damages arising out of or in connection with the provision of our Services, including, without limitation, indirect, consequential, special, or punitive damages, even if we have been advised of the possibility of such damages.

Governing Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the state of California, without regard to its conflicts of law provisions. Any legal action arising out of or in connection with these Terms will be brought exclusively in the state or federal courts located in Denver County, Colorado.

Entire Agreement

These Terms constitute the entire agreement between you and BMVI with respect to the provision of our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Amendments

We may amend these Terms from time to time by posting a revised version on our website. Your continued engagement of our Services following the posting of the revised Terms constitutes your acceptance of the revised Terms.  These terms do not supersede the Terms of Service for those that have contracted for fractional services and/or coaching or consulting and educational program and services.  These terms are additional provisions that coincide with the Terms of Service.  The Terms of Service are the primary provisions and the terms and conditions are secondary provisions to any and all services provided by and through BMVI.
